Terms and Conditions of Use

These terms govern your use of Loqzi. By creating an account, posting content, opening a shop, or placing an order, you accept these terms in full. If you disagree, do not use the platform.
1.What Loqzi Is (and Isn't)
Loqzi is an intermediary technology platform: a digital space where independent merchants post their catalog, deals, and content, and where users interact, comment, and arrange in-store pickup purchases.
- Loqzi is not the seller, manufacturer, importer, distributor, or provider of the products or services listed.
- Loqzi is not a party to the sales contract: that contract is formed directly and exclusively between the merchant and the buyer.
- Loqzi does not control, approve, or pre-screen the content, prices, quality, legality, availability, or descriptions posted by merchants or users.
2.User Accounts
You must be of legal age in your jurisdiction (or have authorization from your legal guardian) and provide accurate information. You are responsible for keeping your credentials confidential and for all activity carried out from your account.
We may suspend or delete accounts that violate these terms or the Community Guidelines, without prior notice and without any right to compensation.
3.User-Generated Content
Any text, image, review, complaint, compliment, rating, or comment posted on the wall is content belonging to the user who posted it. That user represents that:
- they hold the necessary rights over what they post;
- the content is truthful, not defamatory, not discriminatory, and does not infringe third-party rights;
- they assume full and exclusive civil, criminal, and administrative liability for that content.
By posting, you grant Loqzi a worldwide, non-exclusive, royalty-free, and transferable license to host, display, reproduce, and distribute that content within the platform and in its promotional materials. You may remove your content at any time.
Loqzi is not obligated to monitor content, but may remove or restrict any post at its sole discretion, especially after a well-founded report.
4.Merchant Obligations and Liability
Each registered merchant acts as an independent seller and is solely responsible for:
- the existence, legality, origin, quality, safety, and fitness of its products and services;
- the accuracy of descriptions, photos, prices, taxes, stock, terms, and validity of deals, coupons, and promotions;
- fulfilling the posted offer and honoring the coupons and discounts it issues;
- delivering the order at its location, issuing an invoice or receipt, and meeting its tax obligations;
- handling warranties, exchanges, returns, claims, and after-sales service;
- holding the licenses, permits, health registrations, and authorizations its activity requires;
- complying with applicable consumer protection, advertising, intellectual property, and data privacy laws.
The merchant shall hold Loqzi harmless from any claim, fine, penalty, damage, or expense (including reasonable legal fees) arising from its products, services, promotions, content, or breaches.
5.Orders, In-Store Pickup, and Payments
Loqzi currently supports in-store pickup. The transaction, delivery, and product verification take place in person between buyer and merchant. Loqzi does not take part in that handoff and does not guarantee it will happen.
When a merchant enables online payment, that payment is processed through a third-party payment provider, subject to its own terms. Loqzi does not store card data. Returns and refunds are the merchant's responsibility; as a courtesy, Loqzi may facilitate communication between the parties without assuming any payment obligation.
Loqzi may charge a platform fee on online payments and subscription fees. These fees compensate Loqzi for use of the software, not for the merchant's sale.
6.Subscriptions and Free Trial
Registration includes a trial period followed by a paid plan based on the features purchased. Prices may change with reasonable prior notice. Except where required by law, fees already incurred are non-refundable. You may cancel at any time; cancellation takes effect at the end of the current billing cycle.
7.Prohibited Conduct
- Posting illegal, counterfeit, stolen, dangerous, or restricted-sale products.
- Misleading advertising, fake prices, or offers you don't intend to honor.
- Harassment, threats, hate speech, defamation, impersonation, or fake reviews.
- Spam, mass scraping, reverse engineering, attacks, or interference with the platform.
- Using the platform for money laundering, fraud, or any unlawful purpose.
8.Intellectual Property and Reports
Loqzi's software, brand, and design belong to Loqzi. Each merchant's and user's content remains theirs. If you believe a post infringes your rights, send a notice to legal@loqzi.app identifying the work, the URL, and your ownership; we will remove the content if the claim is valid and may suspend repeat infringers.
9."As Is" Service and Limitation of Liability
The platform is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted availability, or error-free operation.
To the fullest extent permitted by law, Loqzi, its founders, partners, employees, and providers will not be liable for indirect, incidental, special, punitive, or consequential damages, lost profits, data loss, reputational harm, disputes between users and merchants, defective products, unhonored offers, third-party content, or service interruptions.
Loqzi's total and cumulative liability, for any cause, is limited to the amount the claimant paid to Loqzi in subscription fees during the three (3) months preceding the event, or one hundred US dollars ($100), whichever is less.
10.Indemnification
You agree to defend, indemnify, and hold Loqzi harmless from any claim, demand, loss, fine, or expense (including attorneys' fees) arising from your use of the platform, your content, your products or services, or your breach of these terms or the law.
11.Dispute Resolution and Governing Law
Disputes between a buyer and a merchant must be resolved directly between them. Loqzi does not arbitrate, is not required to mediate, and does not assume the consequences of such disputes.
These terms are governed by the laws of el estado de Florida, Estados Unidos, and any dispute with Loqzi will be submitted to the competent courts of that jurisdiction, with the parties waiving class actions to the extent permitted by law.
